Nevada LLC Cost (2026): Why the Filing Fee Is Really $425
Nevada advertises a $75 LLC filing fee, and that number misleads a lot of first-time founders. Nevada will not approve a new LLC without two more filings submitted at the same time, which brings the real cost of formation to $425, one of the highest mandatory formation costs in the country. The annual cost is just as specific: $350, every year, for two separate renewals.
$425: Three Filings, Not One
| Filing with the Nevada Secretary of State | Fee |
|---|---|
| Articles of Organization | $75 |
| Initial List of Managers or Managing Members | $150 |
| State Business License | $200 |
| Total due at formation | $425 |
All three are submitted together through SilverFlume, the state's online business portal. The Initial List names the people who manage the LLC and becomes public record, which is why many Nevada owners list a commercial registered agent address instead of their own.
The $425 is owed however you file, so keep the service fee small. $39 formation + $425 state fees, free Nevada registered agent for year one, then $125/yr.
$39 formation fee · Free registered agent for 12 months · Your address stays off public records · No data selling · No hidden fees
Form Your LLC with Northwest ($39) →Lowest 3-year cost we found: Northwest $289 vs Bizee $298 vs ZenBusiness $497 (service fees; state fees extra). Northwest also puts its address on your public filings instead of yours where the state allows. The $350 Annual Renewal
Each year the LLC files an Annual List of Managers or Members ($150) and renews its State Business License ($200). Both are due by the last day of the month in which the LLC was formed, and both are handled in the same SilverFlume session. An LLC formed in May 2026 renews by May 31, 2027, and every May 31 after that.
Missing the Anniversary Deadline
A late Annual List adds a $75 penalty. If the list stays unfiled, the LLC goes into default and can then have its charter revoked, after which reinstating it means paying all missed fees and penalties plus a reinstatement fee. The business license renewal is tracked separately, so paying one without the other does not keep the LLC current.
Nevada Taxes an LLC May Still Owe
Nevada has no personal or corporate income tax. Two business taxes can still apply. The Commerce Tax applies only to businesses with more than $4 million of Nevada gross revenue in a fiscal year. The Modified Business Tax applies to employers, based on wages paid. A one-owner LLC with no employees and ordinary revenue owes neither.

Nevada vs. Forming at Home
Three years in Nevada costs $1,125 in state fees alone, against $220 in Wyoming or $300 in Texas. The no-income-tax benefit only helps if the business is actually based in Nevada: an LLC run from California or another income-tax state must register there as a foreign LLC, pay that state's fees, and pay its income tax on profit earned there. For most small businesses outside Nevada, the Nevada LLC adds $350 a year without reducing tax.
