New York LLC Cost (2026): Filing fee: $200 (Articles of Organization; many guides quote $205 because it includes a $5 plain copy). Publication in two newspapers for six weeks within 120 days: roughly $200 to $500 upstate and $1,200 to $2,000 in Manhattan, plus a $50 Certificate of Publication. Biennial statement: $9 every two years. Annual IT-204-LL filing fee of $25 to $4,500 for LLCs with New York-source income. 3-year state minimum excluding publication: $259.

New York LLC Cost (2026): The Filing Fee Is the Small Part

Most states have one headline LLC fee. New York has a modest $200 filing fee and then a legal requirement, unique among states in how much it costs, to advertise your new LLC in two newspapers for six weeks. Depending on the county you name as your LLC's office, that ad can cost less than the filing fee or ten times more.

Publication: New York's Biggest LLC Cost

Under Section 206 of the New York LLC Law, within 120 days after the Articles are filed you must publish a notice of formation once a week for six consecutive weeks in two newspapers, one daily and one weekly, chosen by the county clerk of the county listed in your Articles. Each newspaper then gives you an affidavit of publication, and you file both with a Certificate of Publication for $50.

Skipping it does not dissolve the LLC, but its authority to carry on business in New York is suspended until the requirement is met. The suspension is lifted once the Certificate of Publication is filed, even if you publish late.

What Publication Costs by County

County named in the ArticlesTypical publication cost
Most upstate and rural countiesAbout $200 to $500
New York County (Manhattan)About $1,200 to $2,000

These are market ranges, not state fees: newspapers set their own rates, and the county clerk designates which papers qualify. The county that matters is the one stated as the LLC's office location in the Articles of Organization, so it should reflect where the business really operates. Get quotes from the designated papers before filing so the 120-day clock does not surprise you.

Department of State Fees

Articles of Organization$200
Plain copy of the filed Articles (optional)$5
Certificate of Publication$50
Biennial statement (every 2 years)$9
Expedited handling: 24 hours / same day / 2 hours$25 / $75 / $150

New York also requires every LLC to adopt a written operating agreement within 90 days of filing (LLC Law Section 417). It is not filed with the state, so the only cost is drafting it.

In New York the Secretary of State is automatically designated to receive legal papers for your LLC and forwards them to the address you give. A separate registered agent is optional, which is why the DIY row below has no agent cost. The forwarding address you give is public, which is the main reason owners use a commercial agent or address anyway.

The Annual IT-204-LL Filing Fee

LLCs with New York-source gross income generally owe an annual filing fee to the Department of Taxation and Finance on Form IT-204-LL, based on that income:

New York-source gross incomeAnnual fee
$100,000 or less$25
Over $100,000 to $250,000$50
Over $250,000 to $500,000$175
Over $500,000 to $1,000,000$500
Over $1,000,000 to $5,000,000$1,500
Over $5,000,000 to $25,000,000$3,000
Over $25,000,000$4,500

Whether and how it applies depends on how the LLC is taxed and who owns it, so confirm with your tax preparer. Personal income tax on pass-through profit runs from 4% to 10.9%.

Extra Costs Inside New York City

New York City imposes its own 4% Unincorporated Business Tax on many unincorporated businesses, including LLCs taxed as partnerships or sole proprietorships, with credits and exemptions that reduce or remove it for smaller businesses. It is filed with the NYC Department of Finance, separately from state returns.

When New York publication is not worth it: if you are testing an idea with little revenue, the publication bill can be the largest expense of your first year. Operating as a sole proprietor under your own name costs nothing until the business proves itself.
